What this calculator tells you

Every company files two annual forms with the Registrar of Companies once its accounts are adopted: AOC-4 for the financial statements and MGT-7 (or the shorter MGT-7A for small companies and One Person Companies) for the annual return. Both deadlines run from the annual general meeting, so the AGM date is the one number that matters. Enter it with the company type and the financial year end, and the tool shows each due date and how many days early or late a filing date is. For a practice tracking these dates across many clients, a ROC compliance assistant for CS practices such as AutoROC keeps them on one dashboard.

How it is calculated

The rules come from the Companies Act, 2013 as published by MCA:

FormCompanyOne Person Company
AOC-4 (Section 137)AGM date + 30 daysFinancial year end + 180 days
MGT-7 / MGT-7A (Section 92(4))AGM date + 60 daysLast date for AGM + 60 days
If no AGM is heldCounted from the last date by which the AGM should have been heldNot applicable

In formula form: AOC-4 due = AGM + 30 days; MGT-7 due = AGM + 60 days; days late = filing date − due date; a result of zero or less is shown as on time, with the days to spare. Where the AGM is left blank, the tool uses the financial year end plus six months, the outer limit for an AGM under Section 96. An OPC is not required to hold an AGM, so its AOC-4 runs from the year end and its MGT-7A from that same six-month date. Days are calendar days and the AGM day itself is day zero, so 30 days after an AGM on 30 September is 30 October.

The calculator does not cover a company’s first AGM, which can be held within nine months of its first year end, or an extension of the AGM granted by the ROC; in those cases enter the actual or extended AGM date. It also does not compute additional fees for late filing. Fee tables depend on the form, the delay and the company’s capital, and MCA has at times announced waiver schemes, so check the current position on the MCA portal. All dates here are illustrative; confirm with your adviser / the official source before relying on them.

Worked example (illustrative)

A private company closes its books on 31 March 2026 and holds its AGM on 30 September 2026. AOC-4 is due 30 days later, on 30 October 2026. MGT-7 is due 60 days after the AGM, on 29 November 2026. If AOC-4 is filed on 2 November 2026, it is 3 days late; the same filing date leaves MGT-7 with 27 days to spare. For a One Person Company with the same year end, AOC-4 would be due on 27 September 2026, 180 days after 31 March, and MGT-7A on 29 November 2026.

Where AutoROC fits

A calculator answers one company at a time. A practice filing for dozens of companies needs every AGM-linked date in one view, which is what AutoROC keeps: annual filings, director KYC and event-based forms on one dashboard with days left, with the professional still reviewing and filing every form on the MCA portal. For the wider picture, read how to build a ROC compliance calendar for CS and CA firms and the MCA V3 e-form filing workflow; the forms themselves are explained in AOC-4 meaning and MGT-7 meaning. MCA’s own FAQ on MGT-7 and MGT-7A covers who files which version.

Questions

What is the due date for AOC-4?

Under Section 137 of the Companies Act, 2013, within 30 days of the AGM; a One Person Company files within 180 days of the financial year end. Confirm on the MCA portal or with your adviser.

What is the due date for MGT-7?

Under Section 92(4), within 60 days of the AGM, or of the last date by which the AGM should have been held if none was held. Illustrative; confirm with your adviser / the official source.

When is MGT-7A due for an OPC?

An OPC does not hold an AGM, so MGT-7A is commonly counted 60 days from the date by which an AGM would otherwise have been due, six months after the year end; confirm with your adviser.

Does this calculator work out the late fee for AOC-4 or MGT-7?

No. Additional fees depend on the form, the delay and the company, and MCA has at times announced waiver schemes, so check the current fee rules on the MCA portal.
