ROC filing meaning

ROC filing means submitting e-forms to the Registrar of Companies on the MCA portal. See which filings are annual, which are event-based and what is needed.

What does ROC filing mean?

The Registrar of Companies (ROC) keeps the public record of every company and LLP in its jurisdiction, under the Ministry of Corporate Affairs. Whenever the law requires a company to tell the ROC something, it does so by filing a prescribed e-form on the MCA V3 portal, signed with a digital signature and, for many forms, certified by a practising Company Secretary, Chartered Accountant or Cost Accountant. Each accepted filing gets an SRN (service request number) that the practice keeps as proof.

Which ROC filings are annual and which are event-based?

Annual filings are linked to the close of the financial year and the date of the annual general meeting. Event-based filings have their own time limits counted from the event. The exact due dates and fee rules are in the Companies Act, 2013, its rules and the form instruction kits on the MCA website; confirm them there or with your Company Secretary for each case.

What documents are required for ROC filing?

It depends on the form, but a practice usually needs:

A client-ready version is in the ROC filing document checklist.

What does a year of ROC filing look like for one company?

Illustrative example. A private company closes its financial year on 31 March and holds its AGM in September. During the year it appoints a director (DIR-12), takes a secured bank loan (CHG-1) and allots shares (PAS-3). After the AGM it files its financial statements (AOC-4) and annual return (MGT-7A, as a small company), and earlier in the year its return of deposits (DPT-3). That is six or more forms for one company. A practice handling forty such companies tracks over two hundred due dates, which is where a ROC compliance calendar helps.

ROC filing software is a workspace that maps each client request to the right e-form, pre-fills known company data and tracks due dates. ROC filing software such as AutoROC does this while the CS or CA still reviews and files on MCA V3.
